Terms of Service
Last Updated: August 2026 // Version 1.1Core Principle: Chanova operates on transparent, milestone-driven fixed-scope engagements. We deliver production-grade automations inside your own infrastructure with 100% intellectual property transfer upon final payment.
1. Engagement & Proposal Structure
All automation engineering services provided by Chanova are executed under a written Statement of Work (SOW) / Proposal delivered following your Discovery Call. Each SOW details the explicit system deliverables, API integration touchpoints, sandbox verification criteria, and fixed commercial quote.
2. Milestone Payments & Deposits
Unless expressly modified in an individual SOW, standard commercial terms require:
- 50% Kickoff Deposit: Due upon contract execution prior to architecture provisioning, prompt engineering, and sprint allocation.
- 50% Final Balance: Due upon completion of sandbox testing and production deployment handover to the client.
- There are no hidden hourly overages or unexpected billing line items.
3. Client Account Ownership & Third-Party API Costs
Clients maintain direct billing relationships and account ownership with underlying third-party platforms (including but not limited to automation engines, foundation AI model APIs, telephony providers, and CRM instances).
Any ongoing API consumption fees, telephony per-minute rates, or SaaS platform subscriptions are paid directly by the client to those respective vendors. Chanova does not add markups to client API usage.
4. Scope Adjustments & Change Orders
Minor prompt and scenario refinements within the agreed SOW are included during sandbox testing. If the client requests additional features, new external integrations, or architectural expansions outside the agreed scope, Chanova will issue a written Change Order with a separate fixed quote before commencing work.
5. Post-Launch Support & Warranty
Every custom build includes dedicated post-launch support (2 weeks for Starter, 30 days for Growth, 60 days for Pro) beginning on the date of production handover. During this window, Chanova will resolve any workflow failures, error exceptions, or integration disconnects attributable to the delivered code at no extra charge.
6. Intellectual Property & Transfer
Upon receipt of the final 50% balance, full intellectual property rights, scenario blueprints, webhook routes, and custom prompt configurations transfer to the client for their perpetual commercial use.
7. Limitation of Liability
Chanova engineers resilient automation systems following best practices (including rate limits, token spend caps, and error catching). However, Chanova is not liable for service disruptions caused by external third-party API outages or modifications made to workflows by unauthorized client personnel.
